Satachi Internet Development (hereby referred to as Satachi) provides web hosting, email, web design/development, and consultancy services. Satachi reserves the right to suspend or cancel any client's access to any portion or all of Satachi services, when Satachi deems that the account has been used inappropriately. Satachi reserves the right to refuse service and/or access to its servers to anyone.
1.
Satachi prohibits
sites engaged in:
o
Illegal activities
including but not limited to storing and/or distributing illegal copies of copyrighted
software, warez sites, violations of copyrights and trademarks, violations of
local and international laws, selling and/or distributing illegal contraband.
o
Internet abuse
including but not limited to spamming - mass unsolicited Emailing, distribution
of mass emailing programs, cross-posting messages to a large number of usenet
groups, posting obscene or inflammatory messages, threatening other Internet
users, mail bombing Internet users, running packet sniffers or port scanners,
spamming Satachi support staff. Spammers are held responsible for a £500 clean
up fee.
o
Systems abuse
including but not limited to use of excessive CPU resources, use of excessive
disk space, use of excessive email storage space, hacking our systems, hacking
other users sites, installing continuously running programs, such as IRC bots,
reselling CGI scripts, using our server as a development machine for untested
server side scripts that may cause crashes, outages, denial of service or any
other such problem.
o
Adult content
The determination of what is "adult content" and prohibited shall
be solely made by Satachi
2.
Policy Violation
Should a policy violation occur, Satachi reserves the right to terminate the
account without notice and without any refunds. The policy violating client
will be held responsible for any damages to Satachi, including but not limited
to, Satachi's system, servers, connectivity, reputation, business, service,
network, operations, or equipment. The policy violator may be charged a £500
clean up fee.
3.
Web Site Content
The client is responsible for keeping a copy of their most current web site
files as backup on a remote system (not on Satachi servers). Satachi is not
responsible for any lost files, information, or data unless prior arrangements
for backup services have been pre-arranged.
Exclusions are where the website or applications was developed by Satachi. In
these cases backups of the original data will be kept by Satachi. Should any
new data need to be recovered from Satachi's backup tapes due to the fault of
the client, there will be a charge of £100. Satachi does not guarantee to possess
the most current copy of a client's website if changes are being made by the
client unless a backup service is being provided.
4.
System Updates
The client understands that system updates occur in real-time. For example,
server patching and security updates. These updates will be performed as and
when required, but we will make efforts to perform updates in the evenings outside
of regular office hours. Satachi reserves the right to modify the processing
times at any time without notice. If a client or Satachi support personnel (when
authorized by client) makes any modifications to a hosting account, the client
is responsible to make sure these updates have occurred in our system.
5. Support
o Free customer support is provided via email as part of certain hosting plans, otherwise all support and technical issues are charged for on an hourly rate. This does not include support for issues not relating to your account, such as programming or technical advice.
o Billing inquiries will usually be answered within one business day.
o Client agrees not to spam support.
o

6. Design and Development work
o As commissioner of the project, the client is expected to check the deliverables of each design phase:- layout, spelling, content, order, etc to approve all aspects of the design. Only when the client is satisfied with the current design phase, does the next design phase commence.
o The charges for each web page are cost divided into the 4 Phases for payment in stages. Billing is per Phase. Approval of each Phase is indicated by email and authorisation of payment before proceeding to the next.
o When all payment has been satisfied, the site will be launched.
o Payment terms are as detailed in the payment policy below.
o Failure to pay will result in the web site being deactivated, or in the case of remotely hosted applications, the code being crippled or disabled.
o Design and copyright of each phase are released by Satachi and become the exclusive property of the client upon payment.
o Satachi do not undertake searches of any register of patents, trademarks, designs or other intellectual property. It is a condition of engagement that all such work be undertaken by the client, and all risk of breach of any third party rights in any of the mentioned categories shall be solely that of the client. It is also the responsibility of the client to ensure their own designs are protected by law or registration to the level desired in their respective regions.
o Design work is treated as confidential. No disclosures will be made by Satachi without permission.
o Satachi warranties on services covers the statutory obligations placed upon a supplier as governed by the Supply of Goods and Services Act 1982. All services are carried out with reasonable care and skill and within a reasonable time
o Virus protection and elimination is the responsibility of the client.
7.
Payment Policy
o Any specified setup fee is required before any service is activated.
o The setup fee is non-refundable.
o For design/development work, 50% deposit is payable in advance.
o Deposit is non-refundable after development work commences.
o Payment terms are immediately on receipt of invoice. Payment not made within 14 days attracts an interest rate of 5% calculated on a monthly basis. Failure to make payment will result in deactivation of services and your details being passed to a credit retrieval agency.
o All graphics, design work, code or data remains the property of Satachi until paid for in full.
Hosting Fees
o The minimum contract is 3 months.
o All services are on a quarterly (3 month) or annual (12 month) prepayment basis. There are no month-to-month prepayment programs.
o Full payment is required before any hosting service is rendered, which includes quarterly and annual prepayment renewals.
Payment Method - Credit Card
o Satachi accepts credit card payment (check at time of ordering for/if credit cards accepted).
o Online credit card payment is authorized and assessed in real time.
o Once an order is successfully submitted, the client is subject to Satachi's refund policy.

o Client has 14 days to get payment to Satachi after first email notification to the billing contact of a renewal.
o Payment must be received or services are not rendered.
o If payment is not received on time, then the account is cancelled.
Payment Method – Standing Orders
o Please ask for our bank details if you wish to pay by standing order.
o A confirmation must be sent to Satachi informing that standing order payments have been make.
o A valid reference must be included with all standing order payments.
o All InterNIC fees are separate from Satachi costs and the client is responsible for timely payments to InterNIC for domain ownership unless ownership is retained by Satachi.
Policy Changes
o Satachi reserves the right to change prices at any time.
o All monetary transactions will occur in UK Pounds Sterling.
8. Additional Features
o Additional features can be added at any time according to the costs laid out in your hosting plan.
o Add on costs are non-refundable regardless of whether the service was used.
o Credit Card: Charges are assessed in real time for the current month and every upcoming month until the end of their billing cycle.
o Cheque/Money Order: Payment for additional features can be made at any time by sending a check to Satachi. A credit will be applied toward the account to which the client can draw from in order to pay for add on features.
o Additional services will be activated when payment is received.
9.
Renewal Notification
and Billing Schedule
Renewal notification is emailed to the billing contact prior to the end of
the billing cycle.
Clients must renew prepayment at the end of their billing cycle. Prepayment renewal must occur at least 10 days prior to the end of the current billing cycle. If the client does not renew prepayment, then the account will automatically be cancelled.
Credit Cards
Credit cards are charged 10 days prior to the end of the billing cycle. After
successful payment, an email notification will be sent to the billing contact.
Cheques/Money Orders
Checks or money orders are due within 14 days of the first notification. If
payment is not received, the account is cancelled at the end of the billing
cycle.
10.
Credit Card Failures
In the event of any credit card failure, a notice will be sent to the billing
contact via email. An attempt will be made to charge the credit card everyday
until a successful charge or the end of the billing cycle. If the credit card
is charged successfully, a notification of 'successful charge' will be sent
to the billing contact via email. If the credit card continues to fail and the
billing cycle ends, the account will be cancelled.
11.
Returned Cheques:
Non-Sufficient Funds
If a check is returned, the client is subject to a £25 processing fee.
12.
Account Reactivation
If an account was cancelled due to client request or billing issues and the
client desires to reactivate the account, a non-refundable reactivation fee
of £30 will be required prior to account reactivation. Accounts are reactivated
after all outstanding charges are paid, including hosting fees, additional features,
and NSF check processing fees.
If an account was cancelled due to policy violation, Satachi may not reactivate the account at their own discretion.
13. Refund Policy
o Refunds will be given at the discretion of the Company Management
o If Satachi terminates an account due to policy violation, the policy violator may be charged a clean up fee up to but not limited to £500. This excludes any refunds claimed or due.
o Refunds for service, if given, are only available on unused services as a whole, not parts thereof.
o Refunds for products, if given, are available only for products that are faulty or not fit for the purpose for which they were purchased.
o Unauthorised charge backs may incur additional fees and charges.
14.
Cancellation
Satachi reserves the right to terminate service at any time. If an account is
terminated for a policy violation there will be no refund. Satachi reserves
the right to delete the policy violating web site content without notice.
Customers can cancel service at any time. Cancellation requests should be sent via mail or fax, although email cancellations will also be accepted. Only authorized persons can cancel an account.
If the client requests cancellation, their account will be terminated immediately unless they specifically state they wish the account to be cancelled at the end of the current billing cycle. If the client specifies immediate account termination or fails to define when the account should be cancelled, Satachi reserves the right to terminate service and delete the web site contents without notice.
The minimum information required
to cancel and account are:
a) Specific reason for cancellation
b) Last four digits of the credit card on file or account password (as validation
to cancel account)
c) Domain name or client ID number (to positively identify the account to be
cancelled)
Cancellation requests emailed to Satachi should be emailed to admin@satachi.com with the domain name of the account be cancelled in the subject line of the email.
Refund policies (see Section 12) strictly apply to all cancelled accounts.
If an account is cancelled due to non-payment, Satachi reserves the right to delete the web site contents without notice.
15.
Indemnification
Client agrees to defend, indemnify and hold harmless Satachi against any liabilities
arising out of defective products sold to customers from Satachi servers, personal
injury or property damage caused by products or services sold or distributed
from Satachi servers, any material that infringes or allegedly infringes on
the rights of a third party available from Satachi servers, and any material
that libels or allegedly libels a third party available from Satachi servers.
16.
Disclaimer
Satachi cannot guarantee that our services will be 100% uninterrupted or error
free. Satachi will provide every effort in good faith to ensure that its services
are available to as many Internet users as possible with minimal service interruptions.
In no circumstance will Satachi be liable for any claims resulting from the use or inability to use Satachi's services - including, but not limited to, service interruptions, client errors, Internet connectivity problems, miscommunications, unauthorized access to Satachi servers, InterNIC problems, DNS caching, Internet bandwidth congestion, power failures, vandalism, and natural disasters.
Satachi Internet Development reserves the right to revise our policies at any time.
